1. What these terms are

These are the working rules for every Avistra plan. When you sign a plan agreement, which names your organization, your price and your commitment, these terms are part of it. That signed agreement and these terms together are the whole deal. If they ever disagree, the signed agreement wins.

2. Getting the site built

You give us the words, photos and logo you want used, or approve what we draft for you. You see the site before it goes live and can ask for changes. If we do not have what we need within 30 days of your first payment, we build the site with draft wording and stock photos, put it live, and swap in yours as they arrive. After launch, changes are edits, and edits are unlimited.

3. What is not in a plan

A plan covers the site, the membership platform, hosting, security, backups, edits and the search groundwork. It does not cover things that carry their own cost from someone else: your domain name registration, your own Stripe account's fees on the dues and payments your members make, or any paid service you ask us to connect. Those are yours to pay for. A redesign or a second project is priced separately and only done when you ask for it, and never before you have agreed the price.

4. Your content is yours, and your responsibility

Everything you give us to put on the site must be yours to use and lawful: your words, your photos, your logo, your reviews. If someone claims otherwise, that claim is yours to answer, and we may take the disputed item down while it is sorted out. Anything we draft for you is yours once it is on your site, and you are responsible for what you ask us to say about your organization.

5. Laws that apply to your organization

We build to current good practice for accessibility, privacy and security. Whether your site meets the laws that apply to your particular organization, for example accessibility rules, privacy notices or the rules of your field, is your responsibility. Tell us what you need and we will do it.

6. Paying

You pay by card through Stripe, which keeps your card details; we never see them. The first payment is taken when you sign: the setup and your first month, or on a longer commitment with the setup folded into the monthly, just your first month. After that the monthly fee is charged automatically on the same day each month. If a payment fails we let you know; if it is still unpaid 15 days after that, we may take the site down until the account is current. Nothing is charged for taking a site down or putting it back. You can change your card and get your receipts from your account page.

7. The commitment

Your plan runs for the commitment you chose, counted from your first payment. You can stop using the site at any point, but the monthly fee continues through the end of the commitment. It is never due all at once, and nothing more is owed after the last month. When the commitment ends the plan continues month to month at the plan price, and either of us can end it with 30 days' notice.

8. Cancelling

You can cancel from your account page at avistra.io/account, or by email. During the commitment the plan then ends when the commitment does; after it, the plan ends 30 days from the day you cancel. Payments continue until the plan ends, and the site stays up until then. You can change your mind from the same page any time before that date.

9. Ending the plan early

We can end a plan at any time if the account is more than 45 days overdue, if the site is being used for something illegal or harmful, or if working together has broken down. Either way, within 14 days of the plan ending we send you the site files, and we keep the site up for 14 days so you can move it.

10. What is yours and what is ours

The site is yours: its design, its words, its pictures and its files. The domain is always registered in your own account, in your name. We help you set it up and show you how, but we never register it for you or hold it. If the plan ends, the files we send are a complete website ready to host anywhere, and your members' records can be exported. What is ours is the hosting and the tools: the edit tool and the membership platform run only on sites we host and go away with the plan, and the tools we use to build and look after sites stay ours.

11. Hosting and outages

Hosting, HTTPS, security and backups are included. If the site is down because of something on our side, we fix it as soon as we know. Outages at the companies we host with are outside our control, and we owe nothing for downtime beyond fixing it.

12. Your logins

Where the work needs access to your accounts, for example your domain or your Stripe account, we keep those details private and use them only for the work.

13. Showing the work

We may show your site in examples of our work and place a small “Website by Avistra” link in its footer. Ask and we remove the footer link.

14. What we do not promise

We set every site up to be found and to serve your members well, and we do our best for yours. Search rankings, traffic, sign-ups and renewals depend on many things outside anyone's control, so we do not promise a ranking, a number of visitors or members, or any particular result.

15. Responsibility

If something goes wrong and you have a claim against us under a plan agreement, the most we owe you is the total you paid us in the 12 months before the claim. We are not liable for lost profits or indirect damages.

16. Changes to these terms

We may update these terms. When we do, we email every current client at least 30 days before the change takes effect. A change never raises your price, shortens what your plan includes, or takes away anything promised in your signed agreement. If you do not want to continue under the new terms, you can end the plan and the notice period is waived.

17. The rest

North Carolina law governs these terms and every plan agreement. If we ever have a dispute, it is heard in the courts of Johnston or Wake County, North Carolina. We may hand a plan agreement to another company set up to carry on this work, on the same terms. Electronic signatures and records count the same as paper ones.
